SepNets — a sole proprietorship operated by Arthur Meltser, Authorized Dealer (עוסק מורשה) no. 307067561, email info@sepnets.io, https://sepnets.io ("SepNets", "we", "us"). Contact: info@sepnets.io.
These Customer Terms govern every paid subscription to SepNets services (currently Mia, the AI receptionist, and SepNets Fleet), together with the applicable product addendum (Mia Addendum or Fleet Addendum) and the Data Processing Agreement, all published at https://sepnets.io/legal/. The services are offered to businesses only.
1. Definitions
- "Service" — the subscribed product, as described on the Site and in the applicable addendum.
- "Customer Data" — data the customer, its users, callers, chat users, drivers or contacts provide through the Service, including call recordings, transcripts, messages, appointments and location data.
- "Configurations and Content" — the settings and materials the customer sets up in the Service: greeting and disclosure wording, knowledge-base content, call handling and booking rules.
- "Price List" — the plan and price information published at https://sepnets.io at the time of the order.
- "Site" — https://sepnets.io.
2. Scope and acceptance
2.1 These terms are accepted by paying a SepNets price quote issued through Green Invoice (Morning). Every quote links to these Customer Terms, to the applicable addendum and to the Data Processing Agreement; paying the quote means the customer agrees to all of them for the subscription period covered by that quote.
2.2 The services are offered to businesses acting in the course of business, and the customer confirms it is such a business. The services are not offered to consumers. If, despite the above, a customer is deemed a consumer under mandatory law, the consumer rights that cannot be derogated from apply to that customer.
3. Accounts and access
3.1 The customer is responsible for the accuracy of its account details, for keeping its credentials secure, and for the use of the account by its personnel.
3.2 The customer must be authorized to connect any third-party account or phone number it integrates with the Service (for example, its Google Calendar account).
4. Orders and trials
4.1 Orders are made through the Site, the management dashboard, or in writing. The Service is provided after order confirmation and, for paid subscriptions, after payment of the applicable quote.
4.2 Fleet trial: 30 days free, with no commitment and no automatic conversion — at the end of the trial nothing is charged, and a paid plan starts only if the customer actively orders it. Trial data is deleted when the trial account is deleted.
4.3 Mia plans: the plans, their included minutes and SMS, overage rates and concurrent-call limits are those of the Price List at the time of the order.
5. Fees and VAT
5.1 All prices are in NIS and exclude VAT (מע"מ), which is added as required by law.
5.2 The fees, plan inclusions and overage rates (extra minutes and extra SMS beyond the plan) are those published in the Price List at the time of the order. Each plan also limits the number of concurrent calls, as stated in the Price List; callers beyond the limit hear a busy signal and are not charged.
6. Payment terms
6.1 SepNets issues a new price quote each month through Green Invoice (Morning), with a payment link. Payment is made by credit card, Apple Pay, Google Pay or Bit. There is no recurring charge, standing order or direct debit: each month is paid only through its own quote, at the customer's initiative.
6.2 SepNets stores no card details; payment data is handled by Green Invoice and its payment processors. Invoices and receipts are issued by Green Invoice. Allocation numbers (מספר הקצאה) are handled by the invoicing system as required by law.
7. Non-payment and suspension
7.1 If a quote is not paid, SepNets first sends the customer a written reminder.
7.2 If the amount remains unpaid 14 days after the reminder, SepNets may suspend the Service until payment is received. During suspension the customer's data is not deleted.
7.3 SepNets does not charge interest on late payments and does not charge collection costs.
8. Term and cancellation
8.1 The subscription runs per paid month: each paid quote covers one month of the Service.
8.2 The customer may cancel at any time by email to info@sepnets.io or through the management dashboard. Cancellation takes effect at the end of the current paid month. There is no refund for the current month.
8.3 SepNets may terminate the subscription for a material breach that remains uncured 14 days after written notice (including persistent non-payment).
8.4 On termination the customer may export its Customer Data (Mia: a ZIP kept 7 days for download; Fleet: per-screen Excel/PDF exports); deletion follows the Data Processing Agreement.
9. Price and plan changes
9.1 SepNets may change prices or plans for an upcoming month with 30 days' notice (email or dashboard notice). The change applies only from the next quote; the customer keeps its current pricing until then.
9.2 If the customer does not accept the change, it may cancel before the change takes effect, with cancellation effective at the end of the current paid month and without refund for that month.
10. Acceptable use
The customer will not, and will not allow its users to:
- use the Service for unlawful purposes;
- make cold calls or send unsolicited marketing through Mia (see the Mia Addendum);
- infringe the rights of others, including in the content it loads into the Service;
- circumvent usage or concurrency limits;
- probe, scan or attack the Service or its infrastructure;
- resell the Service without SepNets' written permission.
11. Customer Data
11.1 Ownership: the customer owns its Customer Data and its Configurations and Content. SepNets processes them only to provide the Service, as described in the Data Processing Agreement.
11.2 For the personal data of its callers, chat users, SMS recipients, drivers and contacts, the customer is the controller and is responsible for the lawful basis of processing, for the notices and consents required of it (including under the product addenda), and for the rules of its sector.
11.3 SepNets does not use Customer Data to train general AI models for third parties, and does not sell or rent Customer Data. Data sent to OpenAI through the API is not used to train OpenAI's models.
12. AI output
Mia and other AI features produce automated output that may be inaccurate or incomplete. The customer must review output it relies on (booking details, answers with legal, medical or financial significance) and must not present AI output as professional advice. The customer controls the rules and knowledge Mia uses.
13. Service level and availability
13.1 SepNets makes reasonable efforts to keep the Service available, but provides it "as is": there is no uptime commitment, service-level agreement or availability guarantee unless expressly agreed in writing.
13.2 SepNets may perform maintenance, planned where possible and announced in advance by email or dashboard notice where reasonably practicable. SepNets is not liable for unavailability, except as required by law.
14. Support
Support is provided by email to info@sepnets.io. Accessibility enquiries are answered within 14 days.
15. Confidentiality
Each party protects the other's confidential information with at least reasonable care, uses it only to exercise its rights and meet its obligations under this agreement, and does not disclose it to third parties except to personnel, advisors and subprocessors who need it and are bound by confidentiality.
16. Intellectual property
16.1 SepNets (and its licensors) owns all rights in the Service and the platform: the software, systems, models, interfaces and branding. The customer receives a limited license to use the Service for its subscription period.
16.2 The customer keeps all rights in its Customer Data and its Configurations and Content — including greeting and disclosure wording it customizes, knowledge-base materials it loads, and call handling and booking rules it defines.
16.3 Feedback and suggestions about the Service may be used by SepNets freely.
17. Warranties and disclaimers
Except for the express provisions of these terms, the Service is provided "as is" and "as available". SepNets does not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose. AI output is not guaranteed in any respect (section 12).
18. Limitation of liability
18.1 Each party's aggregate liability under or in connection with the subscription is limited to the fees the customer paid SepNets in the 12 months before the event giving rise to the liability.
18.2 Neither party is liable for indirect, consequential damages or lost profits, except for fraud, willful misconduct, and liability that cannot be excluded or limited by law.
18.3 Liability for processing of Customer Data follows the Data Processing Agreement.
19. Indemnity
The customer will indemnify SepNets against third-party claims arising from the customer's breach of the product addenda (call-recording disclosure duties, marketing consents, driver notices), from the content the customer loads into the Service, and from the customer's failures to establish a lawful basis for the personal data it processes through the Service — except to the extent caused by SepNets' breach of the Data Processing Agreement.
20. Suspension for security
SepNets may suspend the Service immediately, with notice as soon as practicable, in case of a security incident, an attack on the Service, suspected abuse, or where required by law.
21. Changes to these terms
SepNets may amend these terms with 30 days' notice; the current version is always published at https://sepnets.io/legal/customer-terms/ with its revision date. Continued payment of a quote after the notice period is acceptance. A material adverse change entitles the customer to cancel before it takes effect, per section 8.
22. Publicity
SepNets names a customer as a reference, or uses its name or logo in marketing materials, only with the customer's prior written consent.
23. Governing law and forum
These terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv–Jaffa have exclusive jurisdiction.
